Venture Debt Warrant Coverage & All-In Cost Formula

Calculate Net Funded Venture Debt Proceeds, Cash-Only Effective Annual Cost (with upfront commitment and end-of-term final payment fees), Warrant Intrinsic Payoff, and All-In Equity-Adjusted Cost.

Look past the headline coupon to price upfront fees, EOT fees, and warrant kickers!

Startup CFOs comparing a 1-year interest-only Venture Debt bridge of Principal L against an equity round often look only at the headline Cash Coupon Rate r_cpn (say 11.0%)—missing three structural yield boosters: (1) Upfront Facility Fee f_up deducted at closing so Net Cash Funded is only C_0 = L * (1 - f_up); (2) End-of-Term ("Final Payment") Fee f_eot payable at maturity regardless of prepayment; and (3) Warrant Coverage w_cov granting the lender warrants on w_cov * L of equity at Current Round Strike Price, which pays w_cov * L * MAX(0, M_exit - 1) if the company exits at Equity Multiple M_exit on the strike!

Verify on Loan_Principal L = $10.00M (B2), Upfront_Facility_Fee f_up = 0.015 (1.50% -> $9.85M Net Funded in E2, B3), Cash_Coupon_Rate r_cpn = 0.11 (11.00% = $1.10M, B4), End_of_Term_Fee f_eot = 0.04 (4.00% = $0.40M, B5), Warrant_Coverage w_cov = 0.10 (10.0% = $1.00M warrant notional, B6), and Exit_Multiple_on_Strike M_exit = 3.0x (B7): Cash-Only Effective Annual Rate on $9.85M actually received is (1 + 0.11 + 0.04) / (1 - 0.015) - 1 = 1.15 / 0.985 - 1 = 0.1675 (16.75%—575 bps above the 11% headline!); Warrant Intrinsic Payoff at 3.0x exit is 0.10 * 10.00 * (3 - 1) = $2.00M; and All-In Effective Cost Including Warrant Dilution reaches (1.15 + 0.20) / 0.985 - 1 = 0.3706 (37.06%)! Test an underwater flat exit M_exit = 0.8x in B7: warrants expire worthless ($0.00M) and All-In Cost equals the 16.75% Cash-Only Rate!

Venture Debt Tranche Metric ($10M, 1.5% Upfront, 11% Cpn, 4% EOT, 10% Warrant @ 3x)FormulaVerified Output
Net Cash Funded at Closing ($M)L * (1 - f_up)$9.85M ($0.15M Upfront Fee)
Cash-Only Effective Annual Rate(1 + r_cpn + f_eot) / (1 - f_up) - 10.1675 (16.75% vs 11.00% Cpn)
Warrant Intrinsic Gain at Exit ($M)w_cov * L * MAX(0, M_exit - 1)$2.00M ($0.00M if M_exit <= 1)
All-In Effective Cost (incl. Warrants)(1 + r_cpn + f_eot + w_cov*MAX(0, M_exit-1)) / (1 - f_up) - 10.3706 (37.06%)

Cash-Only vs Warrant-Adjusted Effective Annual Cost Formula

Validate L > 0, 0 <= f_up < 1, r_cpn >= 0, f_eot >= 0, w_cov >= 0, and M_exit >= 0!

=LET(ln_pr, B2, fe_up, B3, rt_cp, B4, fe_eo, B5, wr_cv, B6, mx_ex, B7, IF(OR(ln_pr <= 0, fe_up < 0, fe_up >= 1, rt_cp < 0, fe_eo < 0, wr_cv < 0, mx_ex < 0), "Invalid Venture Debt Input", ROUND((1 + rt_cp + fe_eo + wr_cv * MAX(0, mx_ex - 1)) / (1 - fe_up) - 1, 4)))

Warrant Intrinsic Dilution Payoff Formula

Because warrants are options, never omit MAX(0, M_exit - 1)—otherwise an underwater M_exit < 1x falsely credits negative warrant cost back against cash interest!

=IF(ISTEXT(E5), E5, ROUND(B6 * B2 * MAX(0, B7 - 1), 2))
