ASC 805 Purchase Price Allocation, DTL & Goodwill Formula
Calculate US GAAP ASC 805 / IFRS 3 Non-Tax-Deductible Intangible Step-Up Deferred Tax Liability (DTL), Fair Value of Net Identifiable Assets, Residual Goodwill Recorded, and Bargain Purchase Gain.
Remember the ASC 805 stock-deal DTL trap: intangible write-ups INCREASE residual Goodwill!
During an ASC 805 / IFRS 3 Purchase Price Allocation (PPA) for a non-taxable STOCK acquisition, valuation specialists write up acquired customer relationships, developed technology, and trade names by Fair_Value_Intangible_StepUp! Yet because the target’s tax basis in those intangibles stays at $0 in a stock deal, future GAAP intangible amortization is NOT tax-deductible—forcing the acquirer on Day 1 to record a Deferred Tax Liability DTL = Intangible_StepUp * Statutory_Tax_Rate! Subtracting that DTL reduces Fair Value of Net Identifiable Assets = Book_Net_Assets + Intangible_StepUp - StepUp_DTL, which INCREASES Residual Goodwill = MAX(0, Purchase_Consideration - Net_Identifiable_Fair_Value) dollar-for-dollar (whereas if Purchase_Consideration < Net_Identifiable_Fair_Value, Goodwill is $0 and ASC 805 books an immediate Day-1 Bargain Purchase Gain)!
Build a hand-verifiable Stock-Deal PPA Schedule—Equity_Purchase_Consideration = $200.00M (B2), Historical_Book_Net_Assets = $70.00M (B3), Identifiable_Intangible_StepUp = $60.00M (B4), and Statutory_Tax_Rate = 0.25 (25.0% in a carryover-basis stock deal, B5): Step-Up Deferred Tax Liability is 60 * 0.25 = $15.00M (E2); Fair Value of Net Identifiable Assets is 70 + 60 - 15 = $115.00M (E3); Residual Goodwill Recorded is MAX(0, 200 - 115) = $85.00M (E4—$15M higher than an unguarded $70M calculation that forgets DTL!); and Bargain Purchase Gain is $0.00M (E5)!
| ASC 805 PPA Metric ($200M Price, $70M Book, $60M Intangibles, 25% Stock-Deal Tax) | Formula | Verified Output |
|---|---|---|
| Step-Up Deferred Tax Liab ($M) | Intangible_StepUp * StockDeal_Tax_Rate | $15.00M ($0.00M @ Asset Deal) |
| Net Identifiable Fair Value ($M) | Book_Net_Assets + StepUp - StepUp_DTL | $115.00M ($130.00M @ Asset Deal) |
| Residual Goodwill Recorded ($M) | MAX(0, Purchase_Price - Net_Ident_FV) | $85.00M ($0.00M @ $100M Price) |
| Bargain Purchase Gain ($M) | MAX(0, Net_Ident_FV - Purchase_Price) | $0.00M ($15.00M @ $100M Price) |

Test a distressed receiver sale at Purchase_Price B2 = $100.00M (< $115.00M Net Identifiable FV): Goodwill E4 drops to $0.00M and Bargain Purchase Gain E5 records +$15.00M! Or restore B2 = $200.00M and set B5 = 0 (taxable asset deal where tax basis matches book step-up): DTL E2 is $0 and Goodwill E4 is $70.00M!
